Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and MediaScape Marketing LLC ("MediaScape," "we," "us," or "our"). By engaging our services, signing a service agreement, or using our website, you agree to be bound by these Terms. If you do not agree, do not use our services.

2. Services

MediaScape provides digital marketing services including but not limited to:

  • Social media content creation and management (Instagram, Facebook, TikTok, LinkedIn, etc.)

  • Photography and videography for commercial and marketing use

  • Meta (Facebook and Instagram) paid advertising campaign management

  • Brand strategy, creative direction, and marketing consulting

  • Email marketing campaigns

  • Website content creation and copywriting

  • Influencer and athlete marketing campaigns

The specific scope, deliverables, timeline, and pricing for your project will be set forth in a separate Service Agreement or Statement of Work (SOW) signed by both parties.

3. Client Responsibilities

To enable MediaScape to perform services effectively, you agree to:

  • Provide accurate, complete, and timely information, assets, and approvals as requested

  • Grant MediaScape necessary access to social media accounts, ad accounts, analytics, and other platforms

  • Designate a primary point of contact for project communication

  • Review and approve deliverables within the timeframes specified in your Service Agreement

  • Ensure you have the legal right to use any content, trademarks, or materials you provide to us

  • Comply with all applicable platform terms of service for platforms where we manage campaigns

4. Payment Terms

4.1 Fees

Fees for services are as outlined in your Service Agreement. Unless otherwise stated, invoices are due within 30 days of issue. Retainer fees are due on the first of each month.

4.2 Late Payments

Unless otherwise stated in writing, invoices not paid within 30 days of the due date may incur a late fee of 1.5% per month (18% annually) on the outstanding balance. MediaScape reserves the right to pause or suspend services for accounts with overdue invoices exceeding 30 days.

4.3 Refunds

Due to the nature of creative and digital services, fees paid for completed work are generally non-refundable. Unused retainer fees from cancelled engagements may be refunded on a pro-rated basis at MediaScape's discretion, per the terms of your Service Agreement.

5. Intellectual Property

5.1 Work Made for Hire

Subject to full payment of all fees, all original creative works produced by MediaScape specifically for your brand (photos, videos, graphics, copy) shall be owned by you upon payment in full. MediaScape retains the right to display such work in our portfolio and marketing materials unless otherwise agreed in writing.

5.2 MediaScape Materials

MediaScape retains ownership of all pre-existing tools, templates, methodologies, strategies, software, and proprietary systems used in the performance of services. A limited license is granted to you to use deliverables for their intended purpose only.

5.3 Client Content

You retain ownership of all content, materials, and data you provide to MediaScape. By providing such materials, you grant MediaScape a non-exclusive, royalty-free license to use them solely to perform the contracted services.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement, including business strategies, client lists, financial information, and ad performance data, unless otherwise stated in writing. This obligation survives termination of the service agreement for a period of three (3) years.

7. Platform Compliance

MediaScape will manage advertising campaigns in accordance with applicable platform policies (Meta, Google, TikTok, etc.). We are not responsible for ad account restrictions, bans, or policy changes imposed by third-party platforms. We will use commercially reasonable efforts to bring campaigns into compliance with policy changes as they arise.

8. Disclaimer of Warranties

MEDIASCAPE PROVIDES SERVICES ON AN 'AS IS' AND 'AS AVAILABLE' BASIS. WE DO NOT GUARANTEE SPECIFIC RESULTS, PERFORMANCE METRICS, REVENUE OUTCOMES, OR RETURN ON ADVERTISING SPEND. MARKETING RESULTS ARE INHERENTLY VARIABLE AND DEPEND ON MANY FACTORS OUTSIDE OUR CONTROL. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIASCAPE MARKETING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO MEDIASCAPE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless MediaScape and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising out of: (a) your breach of these Terms; (b) your use of our services; (c) any content you provide that infringes third-party rights; or (d) your violation of any law or regulation.

11. Termination

Either party may terminate the service engagement in accordance with the notice provisions of the applicable Service Agreement (typically 30 days written notice). MediaScape may terminate immediately for non-payment, material breach, or conduct that violates platform policies or applicable law. Upon termination, you remain responsible for fees owed for work completed.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration administered in Utah County, Utah under the rules of the American Arbitration Association. You waive any right to a jury trial or class action.

13. Modifications

We reserve the right to update these Terms at any time. Updated Terms will be posted to our website. Continued use of our services after changes are posted constitutes acceptance.

Acceptable Use Policy

1. Purpose

  • Comply with all relevant advertising standards and FTC guidelines, including proper disclosure of sponsored content, endorsements, and material connections

  • Not make unsubstantiated health, medical, or financial claims

  • Include required disclosures for regulated industries (finance, healthcare, real estate, etc.)

  • Not infringe on any copyright, trademark, or other intellectual property

4. FTC Endorsement and Testimonial Compliance

All client-directed advertising content must comply with the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255). This includes:

  • Clear and conspicuous disclosure of any material connection between an endorser and the brand

  • Honesty and accuracy in all testimonials and reviews used in marketing

  • Proper disclosure when influencers or brand ambassadors are compensated

5. Consequences of Violations

Violations of this AUP may result in immediate suspension or termination of services, reporting to appropriate authorities, and legal action. MediaScape reserves the right to refuse or discontinue service to any client whose campaign requests violate this policy.

  • Cancellations after work has commenced: you will owe for work completed to date, calculated on an hourly or pro-rated basis

4. Revisions

Each service package includes a specified number of revision rounds as outlined in your Service Agreement. Additional revisions beyond the included rounds will be billed at our standard hourly rate.

5. Unsatisfactory Work

If you are unsatisfied with delivered work, please notify us within 5 business days of delivery. We will work in good faith to address reasonable concerns within the original project scope. Refunds are evaluated case by case and are not guaranteed if work was completed in accordance with the agreed brief.

6. Advertising Budget

Ad spend budgets held or managed on your behalf are returned to you upon cancellation, less any amounts already spent on live campaigns. MediaScape management fees are non-refundable.
